End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legally binding contract between you ("Customer", "you", or "your") and AIcourseGuru ("AIcourseGuru", "we", "us", or "our"), a service provided by Seturon S.A. By accessing or using the AIcourseGuru platform, you agree to all of the terms and conditions stated herein. If you do not agree, you must not use the service.

1. Purpose and Scope

AIcourseGuru provides a software-as-a-service (SaaS) platform that enables users to create, publish, and export micro-courses using AI-assisted tools, file uploads, and custom prompts.

The "Service" includes:

  • The course-authoring application (web-based)
  • Content creation tools (e.g., prompt-to-course generators)
  • Export formats: PDF, SCORM 1.2, Notion
  • Built-in support, AI functionality, and credit-based usage system

2. Subscription & Licensing

2.1. The service is offered under a subscription model with monthly or annual billing.

2.2. The subscription grants you a limited, non-exclusive, non-transferable license to access and use the AIcourseGuru platform during the subscription term.

2.3. You may not sublicense, resell, reverse-engineer, or exploit the platform beyond its intended use.

2.4. Pricing and feature tiers are subject to change with 30 days' notice.

2.5. Subscriptions renew automatically unless canceled before the end of the billing period. No refunds are given for partial periods or unused credits, except where required by law.

3. Restrictions on Use

You agree not to:

  • Copy, modify, distribute, or create derivative works from the platform
  • Upload illegal, discriminatory, or infringing content
  • Use the service for spamming, scraping, phishing, or other unauthorized marketing
  • Use the platform to build or support a competing product or service
  • Attempt to access or tamper with our infrastructure or that of our service providers
  • Conduct or commission penetration testing without written approval

We reserve the right to suspend or terminate your account immediately if these terms are violated.

4. Ownership and Intellectual Property

4.1. The AIcourseGuru software, design, workflows, and supporting materials are owned by us and protected by intellectual property laws.

4.2. Your course content remains your intellectual property. You retain full ownership of the materials you create using the platform.

4.3. By submitting feedback or suggestions, you grant us the right to use them royalty-free for improvement of the platform.

5. Data Privacy & Processing

5.1. By using AIcourseGuru, you acknowledge and agree to our Data Processing Agreement (DPA) and Privacy Policy.

5.2. We process limited personal data to operate and improve the platform, under GDPR-compliant frameworks, using secure EU-based infrastructure.

5.3. We act as a "Processor" for data you upload to the platform and will never access your content without explicit permission, except where required by law.

6. Support & Availability

6.1. Support is provided in English via email (24×5, Monday–Friday).

6.2. Depending on your plan, you may receive onboarding assistance and a customer success manager.

6.3. We aim for 99.5% uptime for paid accounts but do not offer SLAs unless agreed upon in writing.

7. Termination

7.1. You may cancel your subscription at any time via your account dashboard.

7.2. We may suspend or terminate your account for violations of this EULA or applicable laws.

7.3. Upon termination, you will lose access to your courses, exports, and account history.

7.4. We do not offer refunds upon termination unless there is a legal obligation or a material breach on our part.

8. Warranties and Disclaimers

8.1. AIcourseGuru is provided "as is" without warranties of any kind, express or implied.

8.2. We do not guarantee uninterrupted service, nor that content generated by AI will be legally or factually accurate.

8.3. For paid accounts, we guarantee the platform will materially function as described.

9. Limitation of Liability

9.1. To the extent permitted by law, AIcourseGuru is not liable for indirect, incidental, or consequential damages arising from use or inability to use the service.

9.2. Our maximum liability shall not exceed the subscription fees paid by you in the past 12 months.

9.3. Liability for breaches involving personal data or intellectual property is limited to two times the annual subscription amount.

10. Indemnification

You agree to indemnify and hold harmless AIcourseGuru from any third-party claims arising from your misuse of the platform or violation of this Agreement.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or personal data shared during the course of using the Service, and to use such data only as allowed by this Agreement.

12. Governing Law

This Agreement is governed by the laws of Luxembourg. Any disputes will be resolved in the competent courts of Luxembourg, Luxembourg.

13. Changes

We may update this Agreement from time to time. We will notify you of significant changes via email or platform notice. Continued use of the platform after changes are posted constitutes acceptance of the new terms.

Data Processing Agreement (DPA)

Effective Date: June 11, 2025

This Data Processing Agreement ("DPA") is entered into by and between:

  • Customer (the "Controller")
  • AIcourseGuru (a service operated by Seturon S.A., the "Processor")

This DPA is an integral part of the AIcourseGuru End User License Agreement (EULA). In the event of conflict, this DPA shall prevail as to the subject matter of data protection.

1. Subject and Duration

1.1. This DPA governs the processing of personal data by AIcourseGuru on behalf of the Customer in the course of delivering the AIcourseGuru SaaS platform.

1.2. The DPA remains valid for the duration of the Customer's use of the service and shall terminate upon deletion of all processed personal data.

2. Nature and Purpose of Processing

AIcourseGuru processes personal data exclusively to:

  • Create and manage user accounts
  • Enable course authoring and learner progress tracking
  • Provide customer support
  • Monitor and improve platform functionality
  • Comply with legal obligations

3. Types of Personal Data and Data Subjects

3.1. Data Subjects

  • Users (Customer employees or contractors)

4. Controller's Responsibilities

  • Ensure a lawful basis for processing (e.g., consent or contractual need)
  • Configure platform privacy settings appropriately
  • Manage learner data retention and export requests
  • Inform AIcourseGuru of special requirements (e.g., data minimization, country-specific rules)

5. Processor's Obligations

AIcourseGuru shall:

  • Only process personal data as instructed by the Customer
  • Implement appropriate technical and organizational measures (as per Art. 32 GDPR)
  • Ensure personnel involved in data processing are bound by confidentiality
  • Assist the Customer with subject access requests (e.g., data deletion/export)
  • Notify the Customer of any data breach without undue delay (within 24 hours of detection)

6. Sub-processors

AIcourseGuru uses the following approved sub-processors:

Customer consents to these sub-processors. New sub-processors will be added with at least 30 days' prior notice.

7. International Transfers

All primary processing is done in the EU. If data is transferred outside the EEA, AIcourseGuru ensures adequate protection via:

  • Standard Contractual Clauses (SCCs)
  • Sub-processor DPAs

8. Security Measures

AIcourseGuru maintains a high standard of security, including:

  • TLS 1.3 encryption
  • Role-based access control
  • Activity logging
  • Penetration tests by third-party specialists (annually)
  • EU-based cloud infrastructure

9. Data Subject Rights

AIcourseGuru will support the Customer in responding to:

  • Data access and export requests
  • Data correction and deletion requests
  • Objections or consent withdrawal (if applicable)

10. Return or Deletion of Data

Upon contract termination:

  • Admins can export course and learner data during the grace period (30 days)
  • All personal data will be permanently deleted within 30 days unless required by law
  • AIcourseGuru will confirm deletion upon written request

11. Audit Rights

The Customer may request an audit once per year with 30 days' notice. Audits must be:

  • Conducted during business hours
  • Limited in scope and duration
  • Confidential and non-disruptive

12. Governing Law and Jurisdiction

This DPA shall be governed by and construed in accordance with the laws of Luxembourg. Disputes shall be subject to the courts of Luxembourg, Luxembourg.
